      Thank you for your interest in our product. We have not started selling our SaaS software yet and thus are unable to predict the yields we will return. We believe we have a product that will be in high demand.

  1. How can you predict a future pad site before an E&P companies build a lease hold and/or pooling unit? A E&P company can also move proposed unit boundaries in the process of building a unit. So how can you predict something that a E&P company can move anytime during development, for example, layout of the land is not fit for the drilling rig, mining issues, mapping issues for gathering pipelines, landowner or heirship issues etc.. you would be lying to investors. No one can Predict a well pad site until the E&P company proposed a unit which would need to be filed with DEP and in the recorder of deeds in the country courthouse under a DPU, which by the way, can be adjusted or amended.

      Thank you for taking the time to review our offering. In response to your questions we have several steps to our process’s the last of which is giving our predictions. It is common for things to change and sometimes quickly in the oil field. E&P companies will lease or acquire leasehold acreage with the intent to develop it. When one reviews a public E&P’s public filings K’s and Q’s you can easily see where they are focusing their attention. Most all of the issues you raise are already resolved by the time an operator signs the lease to explore for oil and gas. The last few issues you mention we will take into account when making our predictions include; cumulative well recoverable’ s both oil and gas, rock formation, rig availability, paperwork filed with the state, and historical data from surrounding wells, to name a few. The software intends to give visibility into the areas that have the highest likelihood of being developed based on what has happened in the past, what is happening currently, and what could happen in the future. As mentioned in our slide deck our software is intended for mineral funds who are sophisticated and can take our information and apply it to there area of interest to gain potential insight.

Crowdfunding allows investors to support startups and early-growth companies that they are passionate about. This is different from helping a company raise money on Kickstarter. With Regulation CF Offerings, you aren’t buying products or merch. You are buying a piece of a company and helping it grow.

The majority of offerings are common stock, though some companies may raise capital through convertible note, debt, and revenue share.

Individual investors are limited in the amounts they are allowed to invest in all Regulation Crowdfunding offerings over the course of a 12-month period: If either of an investor’s annual income or net worth is less than $107,000, then the investor’s investment limit $2,200, or 5 percent of the lesser of the investor’s annual income or net worth, whichever is greater. If both an investors annual income and net worth are $107,000 or higher, then the investor’s limit is 10 percent of their annual income or net worth, whichever is less. During the 12-month period, the aggregate amount of securities sold to an investor through all Regulation Crowdfunding offerings may not exceed $107,000, regardless of the investor’s annual income or net worth.

Calculating net worth involves adding up all your assets and subtracting all your liabilities.  The resulting sum is your net worth.

Companies on DirectCF are high risk opportunities and may not retain their value. Shares sold via Regulation Crowdfunding offerings have a one-year lock up period before those shares become unrestricted and can be sold freely.

Exceptions to selling shares during the one-year lock up include:
